BY SUBMITTING AN APPLICATION TO OUR AFFILIATE PROGRAM, YOU AGREE TO THE TERMS AND CONDITIONS OUTLINED IN THIS AGREEMENT.

This Affiliate Agreement (the "Agreement") is a legal contract between 94 Degrees, d/b/a Travel Agent Templates ("Company," "We," or "Us") and you ("Affiliate" or "You"). This Agreement governs Your participation in the Travel Agent Templates Affiliate Program (the "Program").

1. Enrollment

To enroll in the Program, You must complete an application form. By applying, You confirm that all registration information provided is accurate and up to date. We reserve the right to accept or decline applications at our sole discretion.

2. Affiliate Account

Upon approval, You will receive access to our affiliate dashboard through our third-party affiliate platform. You are responsible for maintaining the confidentiality of Your login information. If unauthorized access occurs, You must notify Us immediately.

3. Term and Termination

This Agreement begins upon acceptance into the Program and continues until terminated. Either party may terminate this Agreement at any time, with or without cause, by providing written notice. Upon termination, You will no longer earn commissions, but eligible commissions earned prior to termination will be paid unless You have violated the terms of this Agreement.

4. Promotion and Order Tracking

You will receive a unique affiliate link to track referrals. This link must only be used on approved platforms. You may not:

• Use the link in a misleading or unethical manner.
• Promote through spam or unauthorized advertisements.
• Violate intellectual property laws or engage in deceptive marketing.

Failure to comply may result in immediate termination from the Program.

5. Commission Structure

You will earn a commission on Qualifying Purchases made using Your unique affiliate link.

• Commission Rate: 15% of gross sales.
• Exclusions: Commissions will not be paid on gift card purchases or transactions made using store credit.
• Tracking: Our system operates on a first-click 30-day cookie, meaning commissions are attributed to the first affiliate link a customer clicks within 30 days of purchase.

6. Payment Terms

• Commissions are paid in USD via PayPal.
• Payments are processed within the first 7 business days of each month for commissions earned at least 30 days prior.
• Minimum payout threshold: $50 USD.
• Chargebacks or refunds will result in commission reversals.

7. Site Downtime

We are not responsible for temporary website outages or platform downtime that may affect affiliate tracking or payments.

8. Intellectual Property

We grant You a limited, non-exclusive license to use our trade names, logos, and trademarks for the purpose of promoting the Program. Any unauthorized use of our intellectual property is prohibited.

9. Confidentiality

Both parties agree not to disclose any confidential information obtained through participation in the Program. This obligation remains in effect for 10 years after termination of this Agreement.

10.Indemnification

You agree to indemnify, defend, and hold Us and Our affiliates, directors, officers, employees, and agents harmless from any claims, losses, damages, liabilities, costs, or expenses (including reasonable attorney’s fees) arising from Your actions under this Agreement.

11.Non-Exclusivity

This Agreement is non-exclusive. You are free to enter into affiliate agreements with other companies, as long as they are not direct competitors of the Company.

12. Limitation of Liability

We are not liable for indirect, special, or consequential damages arising from Your participation in the Program. Our total liability under this Agreement shall not exceed the commissions paid to You.

13. Compliance with Laws

You agree to comply with all applicable laws, including but not limited to FTC regulations regarding affiliate disclosures.

14. Modification of Terms

We reserve the right to update or modify this Agreement at any time. Continued participation in the Program after changes constitutes acceptance of the updated terms.

15. Governing Law

This Agreement is governed by the laws of Alberta Canada. Disputes will be resolved in the courts of Alberta Canada.

By submitting an application to the Program, You acknowledge that You have read, understood, and agreed to these terms and conditions.
